Shopee Fulfilment Terms of Service

Welcome to Shopee Fulfilment.  Shopee Fulfilment is an additional service on Shopee offered to certain Sellers selected by Shopee (such Sellers, “Selected Sellers” and each a “Selected Seller”) on the terms described in these Shopee Fulfilment Terms of Services (these “Shopee Fulfilment Terms of Service”).  If you are a Selected Seller, you will be deemed to have consented to the terms and conditions described in these Shopee Fulfilment Terms of Service when you send Products to the location designated by Shopee for Fulfilment Services (defined below).  These Shopee Fulfilment Terms of Service supplement the Terms of Service and the other Shopee Policies, of which these Shopee Fulfilment Terms of Service forms a part – please read the Terms of Service and the other Shopee Policies available on the Site as they contain important information regarding your rights and obligations.  Any terms that are used in these Shopee Fulfilment Terms of Service that are not defined here will have the meanings given to such terms in the Terms of Service and/or the applicable Shopee Policy.  All terms and conditions described in these Shopee Fulfilment Terms of Service are subject to change at Shopee’s discretion pursuant to the Terms of Service.  

 

1.1       Shopee may provide inbounding, storage, outbound packaging and handling services in relation to Products (the “Fulfilment Services”) to Selected Sellers for a fee of RM1.85 per Product (the “Fulfilment Fee”).  The Fulfilment Fee is exclusive of goods and services tax, and subject to change at Shopee’s sole discretion.

 

1.2       Each month, Shopee shall provide an invoice to Selected Sellers (“Monthly Invoice”) for the Fulfilment Services provided by Shopee to Selected Seller in relation to the Products that Shopee has fulfilled in that month.  Selected Seller shall make payment of the Monthly Invoice within 30 (thirty) days from receipt to the bank account set out by Shopee in the Monthly Invoice.

 

1.3       Selected Seller shall only ship for fulfilment by Shopee the Products that are expressly accepted for fulfilment by Shopee.  Such Products shall be delivered to the location designated by Shopee in packaging guaranteeing the integrity of the delivered Products.  Shopee will not be required to physically mark or segregate Products from other inventory, and may move Products among facilities at its sole discretion.

 

1.4       The shipping of Products to Shopee for Fulfilment Services shall be accompanied by a delivery note (“Note”) containing Selected Seller’s name and address, description of the Products, quantity, special storage requirements, as well as any other information required by law or requested by Shopee.  Any price on the Note is for Selected Seller’s own use and has no bearing on the Product’s Replacement Value (defined below).

 

1.5       Shopee may refuse to accept the delivery of any Products from Selected Seller that Shopee deems to be unsuitable and return or dispose of Products, at the expense of Selected Seller: (i) immediately if Shopee determines in its sole discretion that the Products create a safety, health or liability risk to Shopee, its personnel or any third party, or (ii) within seven (7) days of the date on which Shopee gives notice of refusal of acceptance if the Products do not correspond with the Note or if Selected Seller fails to direct Shopee to return or dispose of any unsuitable Products.

 

1.6       Shopee’s receipt of delivery of Products does not (i) indicate or imply that the Products have been delivered free of loss or damage, (ii) indicate or imply that Shopee has actually received the number of units of Products specified in the Note, or (iii) waive, limit or reduce Shopee’s rights under this Shopee Fulfilment Terms of Service, the Terms of Service or any of the other Shopee Policies.

 

1.7       A Product that is stored at the location designated by Shopee and bought by a Buyer will be shipped to such Buyer.  Shopee may carry out, in its sole discretion, further packaging or modify the packaging of the Products in order to secure the integrity of the Products for delivery to Buyers.  Shopee may ship Products together with other products.  Selected Seller shall be responsible for all official tax invoices as required by law.

 

1.8       Unless Shopee determines that the issue was caused directly or indirectly by Selected Seller, in the event a Product is Lost or Damaged whilst in the possession or control of Shopee, Shopee shall pay Selected Seller the value of such Product which, for the avoidance of doubt, shall be the gross price at which Selected Seller had sold the Product to the Buyer as indicated in the records maintained by Shopee (the “Replacement Value”).  Selected Seller agrees that the Replacement Value is the total liability of, and Selected Seller’s only remedy against, Shopee, its agents, representatives, and contractors under these Shopee Fulfilment Terms of Service.  At all other times, Selected Seller shall be solely responsible for any loss or damage of Products. 

 

1.9       Either party may request at any time that Shopee returns Products to the Seller, provided the number of Products is more than 30 (thirty) and the Products are not subject of an order by a Buyer.  If Selected Seller is the party that requests such return, an outbound fee of RM1.85 per returned Product (the “Return Fee”) shall be payable by Selected Seller to Shopee.  The Return Fee is exclusive of goods and services tax, and subject to change at Shopee’s sole discretion.  If Shopee is the party that requests such return, no Return Fee shall be payable.
